1. About Staffru
Staffru operates an online marketplace and record-keeping platform that connects client companies that need workers with supplier companies that provide them. A client posts a request, suppliers submit offers, and an accepted offer becomes a service order governed by a contract that both parties sign on the platform.
Staffru is not the employer of any worker and is not a party to the labor relationship or the service-order contract between a client and a supplier. Staffru provides the platform on which those parties transact and keeps a record of what they agree.
These Terms govern your access to and use of the Staffru platform. By creating an account or using the platform, you agree to these Terms on behalf of the company you represent.
These Terms are issued in Arabic, and the Arabic version is the legally binding version. Any version in another language is a translation provided for convenience.
2. Service orders and contracts
Each engagement between a client and a supplier is governed by the service-order contract they sign on the platform. That contract — including any additional terms a client adds and both parties accept — sets out the commercial and operational terms of the engagement.
The platform generates the contract document, records each party's signature (with the date and IP address at signing), and stores the signed document. Staffru is not responsible for the substance of what the parties agree.
3. Payments and Staffru's role
Money for the labor flows directly from the client to the supplier. Each month the client provides its own settlement (the amounts it has computed), the supplier reviews it and issues a tax invoice, and the client pays the supplier directly. Staffru does not calculate these amounts, does not hold or transfer these funds, and is not a payment processor for the labor.
Staffru charges suppliers a separate platform fee for use of the marketplace. That fee is billed by Staffru to the supplier and is not part of the client-supplier contract or a cost payable by the client.
4. Accounts and eligibility
You must provide accurate company and account information and keep it up to date. Each user is responsible for the security of their login credentials and for all activity under their account.
By signing a contract or taking other binding actions on the platform, you confirm that you are authorized to bind the company you represent.
5. Parties' responsibilities and worker data
The supplier must hold, and keep valid, the licences required to provide manpower services; every worker it provides through the platform must be lawfully employed by it and hold a valid iqama and work permit; and the supplier alone is responsible for their wages, entitlements, social insurance (GOSI) contributions and all other employer obligations towards them.
The client must provide a safe working environment for workers at its sites and use them only for the work and at the sites agreed in the service-order contract. Staffru checks a supplier's licence at registration, but this is not a guarantee by Staffru that any supplier or worker complies with the law.
Supplier companies enter and maintain personal data about their workers (such as names and residency/ID details) on the platform. If you submit worker data, you are responsible for having a lawful basis to do so and for the accuracy of that data. How Staffru handles personal data is described in the Privacy policy.
6. Acceptable use
You agree not to misuse the platform, including by attempting to access data that does not belong to your company, uploading unlawful or infringing content, interfering with the platform's operation or security, or using the platform to violate applicable law.
You may not use the platform to submit false records or to misrepresent the parties, workers, or amounts involved in an engagement.
The platform provides communication tools, including a chat on each service order, so that the client and the supplier can coordinate that engagement. Staffru may access and monitor communications sent through the platform for the purposes described in the Privacy policy. You must not use these tools to share unlawful, infringing, or harmful content, or to arrange to circumvent the platform.
7. Dealing on the platform
Clients and suppliers who are introduced to each other through Staffru agree to transact and communicate on the platform. Attempting to circumvent Staffru — moving the relationship, the payments, or the communications for an engagement off the platform in order to avoid platform fees or other obligations owed under these Terms — is prohibited, and may result in suspension or termination of access for the company or user responsible.
Anything you agree, communicate, or pay outside the platform is at your own risk. Staffru is not a party to any off-platform arrangement, does not record it, and is not responsible for anything agreed or done outside the platform. Only what is recorded on the platform forms part of Staffru's record of an engagement — which also means that if a disagreement arises, Staffru can only consider what it can see.
Suppliers may also be bound by a separate agreement with Staffru where one is in place; those obligations apply in addition to this section.
8. Disclaimers
The platform is provided "as is" and "as available" without warranties of any kind, whether express or implied, to the maximum extent permitted by law. Staffru does not warrant that the platform will be uninterrupted or error-free.
Staffru does not guarantee the conduct, performance, solvency, or compliance of any client, supplier, or worker, and is not responsible for the labor arrangements the parties enter into.
9. Limitation of liability
To the maximum extent permitted by law, Staffru will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the platform.
To the maximum extent permitted by law, Staffru's total liability to a company and its users for all claims arising out of or related to the platform is limited to the greater of (a) the fees that company paid to Staffru in the 12 months before the event giving rise to the claim, and (b) SAR 1,000. Nothing in these Terms limits liability for fraud, gross negligence or wilful misconduct, or any liability that cannot be limited under the laws in force in the Kingdom of Saudi Arabia.
10. Suspension and termination
Staffru may suspend or terminate access to the platform for a company or user that breaches these Terms or applicable law, or where necessary to protect the platform or its users.
11. Changes to these Terms
Staffru may update these Terms from time to time. We will notify users of material changes through the platform or by email before those changes take effect. The date at the top of this page shows when the latest version was published. Your continued use of the platform after changes take effect constitutes acceptance of the updated Terms.
12. Governing law and jurisdiction
These Terms are governed by the laws of the Kingdom of Saudi Arabia.
Any dispute arising out of or related to these Terms or the platform is subject to the jurisdiction of the competent courts in the Kingdom of Saudi Arabia.
13. General
Language: these Terms are issued in Arabic. If the Arabic text and any translation differ, the Arabic text prevails.
Severability: if any provision of these Terms is found to be invalid or unenforceable, the remaining provisions remain in full force and effect.
Entire agreement: these Terms, together with each service-order contract signed on the platform and, for a supplier, any separate agreement with Staffru referred to in section 7, form the entire agreement governing the use of the platform.
Assignment: you may not assign or transfer your rights or obligations under these Terms without Staffru's prior written consent.
